Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website, online forms, digital services, communications, and related online features operated by euVita Health, Inc. (“euVita Health,” “Company,” “we,” “us,” or “our”) and, where applicable, euVita Medical Group PLLC (“Medical Group”).

By accessing or using our website, submitting information through our forms, requesting communications, scheduling services, or otherwise interacting with us, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, SMS/Text Message Terms of Service, Consumer Health Data Privacy Policy, Telehealth Informed Consent, Notice of Privacy Practices, and any other legal notices made available to you. If you do not agree to these Terms, you should not use the website or submit information through it.

1. Company and Medical Group Roles

euVita Health, Inc. provides business, administrative, technology, website, marketing, management, and non-clinical support services. euVita Medical Group PLLC is the professional medical group responsible for providing or arranging certain healthcare and telehealth services, where applicable. Nothing in these Terms is intended to interfere with, control, or replace the independent professional judgment of any licensed healthcare provider.

2. Website Purpose

The website is provided for informational, administrative, marketing, intake, communication, and service-related purposes. Website content is not intended to replace professional medical advice, diagnosis, treatment, or emergency care. A provider-patient relationship is not created merely by visiting the website, submitting a general inquiry, or viewing website content. A provider-patient relationship is created only when legally appropriate and accepted by a licensed healthcare provider.

3. No Emergency Services

The website, online forms, email communications, SMS/text messages, voicemail, and AI-assisted communications are not intended for medical emergencies. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.

4. Eligibility

By using the website, you represent that you are at least eighteen (18) years old or have the consent of a parent, guardian, or legally authorized representative where required. You further agree that all information you provide to us will be true, accurate, current, and complete.

5. User Responsibilities

You agree not to:

  • Use the website for any unlawful, fraudulent, misleading, abusive, or unauthorized purpose.
  • Submit false, incomplete, or misleading information.
  • Interfere with the security, functionality, or operation of the website.
  • Attempt to gain unauthorized access to any system, database, account, or network.
  • Upload or transmit viruses, malware, harmful code, or disruptive materials.
  • Misrepresent your identity or authority to act on behalf of another person.
  • Use website content in violation of intellectual property or other legal rights.

6. Healthcare and Telehealth Services

Certain services may be provided through telehealth or other remote communication methods. Telehealth services are subject to the separate Telehealth Informed Consent, clinical review, provider availability, applicable law, and professional medical judgment. Telehealth may not be appropriate for all conditions. A provider may determine that in-person care, emergency care, specialist care, laboratory testing, or other evaluation is required.

7. Privacy and Health Information

Your use of the website is subject to our Privacy Policy and Consumer Health Data Privacy Policy. To the extent information is protected health information maintained by euVita Medical Group PLLC, it is also governed by the applicable Notice of Privacy Practices. By submitting information through the website, you acknowledge that your information may be collected, used, disclosed, and maintained as described in the applicable privacy notices.

8. Electronic Communications

By using the website or submitting your contact information, you consent to receive electronic communications from us, including administrative notices, service communications, confirmations, legal notices, and other communications related to your interaction with euVita. Marketing communications, including SMS/text messages and marketing emails, will be sent only as permitted by law and subject to any applicable consent or opt-out rights.

9. SMS/Text Message Communications

If you opt in to receive marketing SMS/text messages, your participation will be governed by the SMS/Text Message Terms of Service. Consent to receive marketing text messages is not a condition of purchase, treatment, payment, enrollment, eligibility, or receiving healthcare services. You may opt out of marketing text messages at any time by replying STOP or by using any other reasonable method of revocation, and your revocation will be honored within ten (10) business days or any shorter period required by law.

10. Email Marketing Communications

If you opt in to receive marketing emails, you may unsubscribe at any time by clicking the unsubscribe link in the applicable email or by contacting us directly. Opting out of marketing emails will not prevent us from sending transactional, administrative, healthcare-related, or legally required communications.

11. AI and Automated Communications

euVita may use artificial intelligence, automated systems, prerecorded voice, artificial voice, voicemail technology, or similar tools in certain communications where permitted by law. Where required, euVita will obtain consent before using such technologies, and any call using an artificial, prerecorded, or AI-generated voice will identify itself as such where required by law. You may opt out of AI-generated, prerecorded, artificial voice, or automated marketing communications by following the opt-out instructions provided or by contacting us.

12. Intellectual Property

All website content, including text, graphics, logos, images, designs, videos, icons, software, and other materials, is owned by or licensed to euVita and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, display, sell, license, or exploit any website content without prior written authorization, except as permitted by law.

13. Third-Party Services and Links

The website may contain links to or integrations with third-party websites, platforms, payment processors, scheduling tools, telehealth platforms, CRM systems, analytics tools, SMS providers, email providers, or other services. We are not responsible for the content, privacy practices, security, terms, or conduct of any third-party service. Your use of third-party services may be governed by separate terms and policies.

14. No Guarantee of Availability

We do not guarantee that the website, online forms, communication systems, telehealth technology, SMS services, email services, or related digital tools will be uninterrupted, secure, timely, accurate, or error-free. We may modify, suspend, or discontinue any part of the website or related services at any time.

15. Disclaimers

The website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, euVita disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation. Nothing in these Terms limits any rights that cannot be waived under applicable healthcare, privacy, consumer protection, or other mandatory laws, and nothing in these Terms limits or disclaims liability for professional medical negligence where such limitation is prohibited by law.

16. Limitation of Liability

To the fullest extent permitted by law, euVita Health, Inc., euVita Medical Group PLLC, and their respective officers, directors, members, managers, employees, contractors, affiliates, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or enhanced damages arising from or related to your use of the website, communications, online forms, or related services.

17. Indemnification

You agree to indemnify, defend, and hold harmless euVita Health, Inc., euVita Medical Group PLLC, and their respective officers, directors, members, managers, employees, contractors, affiliates, service providers, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from your misuse of the website, violation of these Terms, submission of false information, or violation of any rights of another person.

18. Dispute Resolution; Arbitration; Class Action Waiver

A. Informal Resolution First

Before initiating any arbitration or other proceeding, you and euVita each agree to first attempt to resolve any dispute informally. The party raising the dispute must send a written notice describing the dispute and the relief sought to the other party (for euVita, at the mailing address or email address listed below). The parties will then have sixty (60) days to attempt in good faith to resolve the dispute before either party may commence arbitration.

B. Binding Individual Arbitration

Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the website, or your use of related online services shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration fees and costs will be allocated as provided in the AAA Consumer Arbitration Rules. The arbitration shall be conducted in the county in which you reside, by videoconference, or in another location required by the AAA Consumer Arbitration Rules or applicable law. This Section does not apply to claims of professional medical negligence or other claims that may not be subject to pre-dispute arbitration under applicable law.

C. Small Claims Exception

Either party may bring an individual claim in small claims court in a court of competent jurisdiction, rather than in arbitration, if the claim qualifies for that court.

D. Class Action Waiver

You and euVita agree that any arbitration or permitted court proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, private attorney general, or representative action. This provision does not prevent you from bringing issues to the attention of federal, state, or local agencies, and such agencies may, if the law allows, seek relief against us on your behalf.

E. 30-Day Right to Opt Out of Arbitration

You may opt out of this arbitration agreement by sending written notice of your decision to euVita Health, Inc., 515 N Flagler Dr, Ste 350, West Palm Beach, FL 33401, or to support@euvitahealth.com, within thirty (30) days of first agreeing to these Terms. Your notice must include your name, contact information, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or the mandatory law of another state applies.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice — such as by posting a prominent notice on the website or, where we have your email address, by email — at least thirty (30) days before the changes take effect, except where a shorter period is required for legal or security reasons. Continued use of the website after the effective date of revised Terms constitutes acceptance of the updated Terms. Material changes to the dispute resolution provisions will not apply to disputes that arose before the change took effect.
